1. Acceptance of These Terms
These Terms and Conditions (“Terms”) govern your use of hotelbrokersinc.com and related pages, forms, listing materials, newsletters, calls and text messages (together, the “Site”), operated by Hotel Brokers of America, Inc. (“HBA,” “we,” “us” or “our”), 8330 Lyndon B Johnson Fwy, Suite #375, Dallas, Texas 75243. By using the Site, viewing any listing, submitting any form, or opting in to text messages, you agree to these Terms and our Privacy Policy.
If you use the Site on behalf of a company or other entity, you represent that you are authorized to bind it, and “you” includes that entity and its principals, affiliates and agents.
Definitions. “Property” means any hotel or hospitality asset listed, marketed or introduced by HBA. “Confidential Information” means any non-public information about a Property, its owner, financials, franchise or sale. “Introduction” means any disclosure by HBA of a Property, its owner, a buyer, or a lender or capital source.
Using the Site does not by itself create an agency or client relationship with HBA. That relationship is created only by a written agreement signed by HBA.
2. Services, Licensing and Agency
HBA is a hotel real estate brokerage that markets franchised hotel properties and assists buyers, sellers and investors with acquisitions, dispositions, 1031 exchange property searches, and introductions to hotel lenders and capital sources. Brokerage services are provided only by licensed persons, and HBA’s license information is shown in the Site footer. In states where HBA is not licensed, transactions are handled with a locally licensed Broker of Record.
Texas law requires license holders to provide the Information About Brokerage Services (TREC Form IABS 1-0) and the TREC Consumer Protection Notice, which are linked in the Site footer and incorporated by reference. Unless a written agreement states otherwise, HBA represents the seller of each listed Property. Nothing on the Site is an offer of compensation to any broker; co-brokerage requires a separate written agreement.
3. Listing Information and Confidentiality
Property information is supplied by sellers and third parties and has not been independently verified. HBA makes no representation or warranty as to its accuracy. Financial figures and projections are estimates only. Listings are subject to prior sale, change or withdrawal without notice. You are solely responsible for your own due diligence. Nothing on the Site is an offer to sell or an offer of securities; no contract exists until a written purchase agreement is signed.
You agree to use Confidential Information only to evaluate a purchase for yourself, share it only with advisors and lenders bound to keep it confidential, not contact a Property’s owner, staff, franchisor or guests without HBA’s written consent, and return or destroy it on request. A signed NDA controls where it conflicts with these Terms.
4. Non-Circumvention
For one (1) year after the later of your first registration or form submission on the Site, or your signing of any NDA with HBA (the “Protection Period”), you will not directly or indirectly purchase, finance or acquire any interest in a Property introduced by HBA except through HBA, or deal directly with any owner, buyer client, listing, lender or capital source introduced by HBA or by a cooperating broker through the Site. This protection extends to the buyer clients and listings of licensed brokers who post or register through the Site.
If you breach this Section, you agree to pay a fee equal to three percent (3%) of the gross purchase price or total capitalization of the transaction, as a reasonable estimate of damages and not a penalty, plus reasonable attorneys’ fees and costs. If HBA introduces a Property you already know is for sale, you must notify HBA in writing within two (2) business days with evidence of prior knowledge.
5. SMS / Text Messaging Program Terms
Program: Hotel Brokers of America text messaging.
Description: By providing your mobile number and opting in (for example, by checking the SMS consent box on a Site form, texting us first, or giving verbal or written consent to an HBA broker), you agree to receive text messages from Hotel Brokers of America about your inquiry, hotel listings that match your criteria, deal and document updates, appointment reminders and follow-ups.
Frequency: Message frequency varies based on your inquiry and activity.
Cost: Message and data rates may apply.
Opt-out: Reply STOP to any message to unsubscribe. You will receive one confirmation message and no further texts unless you opt in again.

Consent: Consent to receive text messages is not a condition of any purchase or service.
Carriers: Mobile carriers are not liable for delayed or undelivered messages.

6. Your Use of the Site and Intellectual Property
You must be at least 18 and must give accurate information in any form. You will not scrape or republish listings or broker data, post Confidential Information elsewhere, misrepresent whether you are a principal or a broker, interfere with the Site’s security, or use the Site unlawfully. By submitting your email you agree to receive listing alerts and newsletters, and each email includes an unsubscribe link.
The Site, the HBA name and logo, and all content are owned by HBA or its licensors. You may view and print content to evaluate Properties; other use requires HBA’s written consent. HBA may suspend your access at any time; Sections 3, 4, 7 and 8 survive.
7. Financing, 1031 Exchange and Investment Disclaimers
HBA is not a lender, broker-dealer, investment adviser or Qualified Intermediary, and does not provide legal, tax, accounting, appraisal or investment advice. Financing and 1031 exchange information is general; financing is subject to each lender’s approval. Consult your own advisors. Hotel investments involve substantial risk.
8. Liability, Governing Law and General Terms
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, HBA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOST PROFITS, AND ITS TOTAL LIABILITY FROM YOUR USE OF THE SITE WILL NOT EXCEED $100. THIS LIMIT DOES NOT APPLY TO AMOUNTS OWED TO HBA UNDER SECTION 4.
You will indemnify HBA from claims arising from your breach of these Terms. HBA is not responsible for third-party websites linked from the Site. These Terms are governed by Texas law, with exclusive venue in the state or federal courts in Dallas County, Texas, and the prevailing party may recover reasonable attorneys’ fees. If any provision is unenforceable, the rest remains in effect. HBA may update these Terms by posting a revised version with a new Effective Date.
